AstraZeneca today announced that it has entered into an agreement with the U. S. Food and Drug Administration to acquire the drugNexium, an acid blocker medication used to treat gastroesophageal reflux disease (GERD), in the United States.
The deal is expected to close in the second quarter of 2021.
“This is an important step in the treatment of GERD,” said John J. Fox, AstraZeneca’s chairman and chief executive. “This agreement provides AstraZeneca with the resources and experience to address the need for our patients, their families and their caregivers, and the regulatory resources to provide effective treatments for patients with GERD.”
Nexium is indicated for the treatment of GERD, a serious chronic disorder that can cause stomach acid to build up in the esophagus. Patients with GERD are often advised to take certain medications to manage their symptoms and to avoid smoking or excessive alcohol consumption while taking this medication. The medication is available in oral and topical formulations and the brand name is Eszopiclone. It is indicated for patients with heartburn, acid reflux, or gastroesophageal reflux disease (GERD).
Under the terms of the deal, AstraZeneca will sell the drug to its U. subsidiary AstraZeneca Pharmaceuticals Inc. in exchange for approximately $5 billion in cash, plus an upfront and a future payment of approximately $10 million, according to a press release. The upfront and payment will be equal to the difference between the cash price and the future payment.
The agreement also provides AstraZeneca with a 180-day exclusivity period from Novartis and other companies. Nexium is also eligible for an additional 180-day exclusivity period following the end of that period.
AstraZeneca announced that it had entered into a strategic alliance with AstraZeneca for the sale of the drug. AstraZeneca will sell its drug in the U. to AstraZeneca in exchange for approximately $5 billion in cash, plus an upfront and a future payment of approximately $10 million. The cash price will be reduced to $6 million as AstraZeneca files a merger with Pfizer Inc., which has an ABneval, or acquired its own drug company. This arrangement will provide AstraZeneca with the resources to fund research and development for the company.
